For most entrepreneurs and foreign investors, a Private Limited Company (Ltd) is the best choice. It provides limited liability protection, is easy to open a bank account with, and is the preferred structure for attracting investment or signing contracts with large organizations.

Create your RDB account online
Go to bis.rdb.rw (Business Registration Portal). Create a free account using your email address and national ID or passport number. This gives you access to all RDB services.

Reserve your company name
Search for your desired company name on the portal. If available, reserve it. Your name must be unique and cannot be identical or too similar to an existing registered company. Have 2–3 alternatives ready.

Complete the online registration form
Fill in all required information online :
- Company name and business activity (ISIC code)
- Registered office address in Rwanda
- Shareholders details (name, nationality, % ownership)
- Directors details and their roles

Receive your Certificate of Incorporation
RDB processes your application within 24 hours. You receive your Certificate of Incorporation and company registration number by email. Download and print multiple copies — you will need them for everything that follows.

Activate your TIN on RRA eTax
Your Tax Identification Number (TIN) is automatically generated when you register with RDB. Go to etax.rra.gov.rw to activate your company tax account. This is required to file any tax declarations.

Register for VAT even if not mandatory
If you plan to work with large companies, NGOs or government entities, we strongly recommend registering for VAT voluntarily — even if your turnover is below RWF 20M. Most procurement processes favor VAT-registered suppliers, and you can recover VAT on your business expenses.
6. Most Common Mistakes When Registering in Rwanda

Using a personal address as company address
RDB requires a proper business address. Using a personal residential address can create complications later. Use a proper office or virtual office address in Kigali.

Not activating your TIN within 30 days
Your TIN is automatically created by RDB but must be activated on the RRA eTax portal. Failure to do so within 30 days can result in compliance issues and blocked accounts.

Hiring employees without registering with RSSB
Every employer must register with RSSB within 30 days of hiring their first employee. Late registration results in a penalty of RWF 50,000 per unregistered employee.

Choosing the wrong ISIC business activity code
RDB requires you to select a business activity code. Choosing the wrong code can affect your tax obligations, licensing requirements and ability to bid on certain contracts. Get advice before submitting.
